By checking the box below, the PTPN member agrees to the following as an amendment to their PTPN Member Agreement.
Effective as of the date of submission, PTPN and the PTPN Member, which are presently parties to an existing in-force Member Agreement, desire to amend that Member Agreement to give the PTPN Member the right to use the name and mark PTPN, and the PTPN Logo (all hereinafter “MARKS”) in order to identify itself as a PTPN Member. PTPN is willing to allow Member to make such use of its MARKS, as provided below.
1. PTPN permits Member to identify itself orally and/or in writing as a member of PTPN, on the condition that the Member does so in a manner which makes it clear that the Member actually provides the services, that PTPN does not provide the services, and that PTPN is merely an organization to which Member belongs.
2. PTPN permits Member to use the MARKS in a promotional manner on its literature and other materials only as described in the “PTPN Logo Usage Instructions” which will be forwarded to the Member with the PTPN logo, or in any other manner approved by PTPN in writing.
3. Member agrees that its use of the MARKS will be less prominent in size and appearance than its own name on such materials, so that it will be clear to all that Member, and not PTPN, is providing the Services.
4. Member agrees and acknowledges that PTPN owns and retains all proprietary rights, including all trademark and copyright right, in the MARKS; and that PTPN has the right to exercise legitimate control over the use of the MARKS pursuant to the Member Agreement.
5. In the event Member ceases to be a member of PTPN, such as through resignation or termination, all permission provided herein is withdrawn.
6. Member agrees that the permission to use the MARKS granted herein can be withdrawn by PTPN, for any or no reason, upon thirty (30) days written notice to Member.
7. In the event, Member’s permission to use the MARKS is withdrawn, Member agrees to cease all use of the MARKS as soon as possible, e.g., by destruction of all materials bearing the MARKS, and discontinuance of any advertising or promotional activity using the MARKS.
